LEGAL / SERVICE

Terms

You subscribe to a dedicated AI machine. Your workspace is yours, AI output needs review, external actions remain your responsibility, and you can export your work when you leave.

Draft for operator and legal review
MAINFRAME / 1

Built from the product architecture, not generic legal boilerplate.

REVIEW IN PROGRESS
Publication status

This page is an implementation draft. Open operator decisions and legal review must be completed before publication.

01

The parties and eligibility

Mainframe is a business service for adults who can enter a contract for themselves or their company. Summary only. Final terms govern.

You must be at least 18 and, if accepting for a company, have authority to bind it.

The exact Inflection Systems contracting entity, registration details, address, and final B2B wording require operator and legal confirmation.

02

The service

A dedicated managed machine, the Mainframe software on it, and the web and messaging surfaces used to operate it. Summary only. Final terms govern.

  • Your selected plan provisions one dedicated virtual machine in the EU or US with agents, routines, approvals, connections, files, and communication surfaces.
  • The workspace is a standard git repository. Installed connector code is visible and editable. Technical users may access their machine directly.
  • The Founder Setup implementation and Enterprise or Custom configurations are separate paid options.
03

Subscriptions and billing

Subscription pricing follows the published plan and billing period. Tax is added where required, and you can cancel. Summary only. Final terms govern.

  • Standard, Turbo, and Heavy plans are offered with published capacity and AI-credit allowances. Custom is quoted.
  • Annual billing receives the discount shown on the pricing page. Promotional pricing lasts for its stated period and then returns to list price.
  • Stripe handles billing and tax. Disk increases are one-way and may be billed separately.
  • Payment failure starts the published 7-day grace, 30-day suspension, 90-day archive, and deletion ladder.

Mid-cycle plan-change timing, subscription refunds, and the full effect of promotional pricing require final operator and legal wording.

04

AI credits and top-ups

Included AI credits have a hard cap. You can add prepaid credit packs or use your own provider account. Summary only. Final terms govern.

  • Included allowances reset monthly and do not silently create overage charges.
  • Warnings appear before the hard cap. Work using bundled credits pauses at the cap until you top up or the allowance resets.
  • Top-up packs raise the current cycle's cap within applicable plan limits.

The refund policy for credit packs and unused subscription time requires legal confirmation.

05

Bring your own AI

Your own AI subscriptions and API keys remain your provider relationships and bill directly to those providers. Summary only. Final terms govern.

  • Provider terms apply to your use of Claude, ChatGPT, or another model account.
  • If a provider changes its terms or technical access, Mainframe may need to change or discontinue that connection method.
  • Inflection Systems is not responsible for charges on your own provider accounts.
06

Founder Setup

Optional paid implementation work to configure a Mainframe, bring in selected company context and connections, and put one recurring workflow into production. Summary only. Final terms govern.

  • The Founder Setup is a one-off fee, separate from the subscription, additional AI usage, third-party subscriptions and any further workflows.
  • The scope and fee are the amount published or quoted for the engagement, confirmed in writing before it starts.
  • Fees are due as invoiced.

Cancellation and refund terms for work that has not started, is in progress, or is complete require final operator and legal wording.

07

Your data and intellectual property

Customer Content and work created in your workspace are yours. The Mainframe platform and brand remain ours. Summary only. Final terms govern.

  • Your workspace repository, history, files, database, and installed package copies leave with you when exported.
  • Open-source components retain their existing licenses.
  • You grant Inflection Systems only the rights needed to host and process Customer Content to provide the service.
  • Aggregated, non-identifying operational metrics may be used to improve operations. Identifying case studies require written consent.
08

Agent output and approvals

AI drafts, you decide. You are responsible for reviewing what you approve for sending or publication. Summary only. Final terms govern.

  • AI output can be inaccurate, incomplete, or unsuitable.
  • Output is not legal, tax, medical, or investment advice.
  • Inflection Systems does not claim ownership of output in your workspace, but provider terms and applicable law may also affect output rights.
09

Acceptable use

Use Mainframe lawfully, respect connected-service rules, and do not abuse the fleet. Summary only. Final terms govern.

  • Do not violate law or third-party rights, send spam, or use connected services outside their terms.
  • Do not attempt to access another customer or Inflection Systems infrastructure.
  • Resource caps, rate limits, and exposure ceilings may be enforced to protect the service.

The final reseller and agency-use policy requires an operator decision.

10

Third-party services and models

Connected apps and AI providers are independent services with their own terms, availability, and pricing. Summary only. Final terms govern.

  • Remote connectors place their provider in the data path, which is disclosed during installation.
  • The bundled-credit model catalog depends on the routing and model providers and can change.
  • Inflection Systems does not control third-party API changes, account decisions, or outages.
11

Availability and changes

Mainframe is operated with care, but standard plans do not currently include an uptime service-level agreement. Summary only. Final terms govern.

  • Maintenance, updates, and tested rollouts may create brief interruptions.
  • Material reductions in core functionality will be communicated in advance.
  • Enterprise agreements may define a separate service level.

Support commitments by plan and the Enterprise service-level framework are not final.

12

Suspension and termination

You can cancel. Inflection Systems may suspend for breach, non-payment, legal requirements, or a serious security risk. Summary only. Final terms govern.

  • Cancellation is effective at the end of the billing cycle unless the applicable order says otherwise.
  • A material breach normally receives notice and a cure opportunity where practical.
  • A serious security or abuse risk may require immediate suspension with notice.
13

Export after termination

Export includes the repository, files, and database until the wind-down ladder reaches deletion. Summary only. Final terms govern.

  • After final deletion, Customer Content is unrecoverable.
  • Direct changes you make to the machine are your responsibility. Support may require restoring a supported state.
14

Warranties, liability, and indemnity

AI is probabilistic and the service cannot promise uninterrupted operation or perfect output. Summary only. Final terms govern.

The final warranty disclaimer, liability cap, exclusions, and indemnity structure must be written for the governing law selected by Inflection Systems and reviewed by counsel.

No liability number or jurisdiction has been invented for this implementation draft.

15

Law, enterprise terms, and notices

A written Enterprise agreement, DPA, or service level can override these standard terms where it says so. Summary only. Final terms govern.

  • Notices to customers use the account email or in-product messaging.
  • Material changes will be announced in advance and dated versions archived.

Governing law, courts, DPA availability, legal contact, postal address, and the change-notice period require operator and legal confirmation.
